Representative Matters

• Represented a multi-location dental practice and its affiliated management entities in the sale of the business through a combination of asset and equity transfers. The engagement included pre-transaction restructuring, development of a new organizational structure, negotiation of rollover equity, and coordination of regulatory compliance across multiple jurisdictions.
• Advised a dental membership and patient engagement platform in its acquisition of a multi-state dental plan administration business, including licensing approvals and regulatory notices required to complete the transaction.
• Counseled a private equity-backed dental support organization (DSO) in acquiring assets from multiple affiliated dental practices as part of a national expansion strategy. The transaction included refinancing, organizational cleanup, and integration planning.
• Represented the purchaser of several dental practice locations in a post-closing dispute involving asset ownership and operational interference, securing a favorable multi-million-dollar settlement before trial.
• Represented a regional surgical practice with multiple office locations in its sale to a private equity buyer. The transaction included cash and rollover equity consideration and required structuring solutions to address corporate practice restrictions.
