    PIPE Transactions

Private investments in public equity (PIPEs) have emerged as an alternative for issuers seeking to raise capital when more traditional private equity markets are unavailable. However, these transactions often move quickly and involve complex trading and resale considerations. Our work includes:

    • Obtaining exemptions from federal and state securities registration laws
    • Complying with federal securities and state blue sky laws
