Overview
Ryan Chesnut assists clients with a variety of complex transactions and business matters, including mergers and acquisitions, restructurings, corporate governance, and related tax issues. In addition to his traditional corporate law practice, Ryan has experience advising clients on transactions involved in healthcare, cannabis, and other industries where regulatory considerations often require the implementation of MSOs, DSOs, and other bespoke structures.
Ryan also has extensive experience advising clients in representations and warranties insurance matters. Before joining Dickinson Wright, Ryan worked for a boutique law firm where his practice focused on representing insurance companies with respect to underwriting RWI policies and serving as coverage counsel for RWI claims. He now uses that experience to assist buy-side and sell-side clients with reviewing and negotiating the terms of RWI policies, preparing transaction agreements to ensure that risk is appropriately allocated among the parties and the RWI policy, and submitting and resolving RWI claims.
Prior to his legal career, Ryan served in a tax consulting role with a public accounting firm where he advised companies of all sizes and complexities on income and franchise tax, sales and use tax, property tax, due diligence for mergers and acquisitions, and other state and local tax issues. Ryan earned his undergraduate degree in finance, and he is licensed as a Certified Public Accountant by the Accountancy Board of Ohio.
