    Overview

Dickinson Wright PLLC is pleased to announce that Alternative Medical Enterprises, LLC, Plants of Ruskin, LLC, and affiliated companies (collectively, “AltMed”) signed a definitive merger agreement with Verano Holdings, LLC (“Verano”). Verano will acquire AltMed and combine operations, resulting in a highly-accretive company upon closing.

The transaction is expected to create an industry leader in the U.S. by combining two profitable, fully-integrated platforms within the cannabis industry that will have the ability to scale by entering new markets and expanding deeper into existing markets. Following the consummation of the transaction, the combined group of companies will operate under the Verano name and will have the ability to operate in 14 states, with eight cultivation facilities and 44 active retail locations.

Dickinson Wright represented AltMed in the transaction and the team was led by Scot Crow, Benton Bodamer, Alan Litwack, Timothy McCulloch, and Cristina Luse.

“We are happy to be a part of the massive group effort to bring AltMed and Verano together,” says Scot Crow. “This deal was a perfect fit for Dickinson Wright’s Cannabis team, as we have a deep bench and significant experience in handling M&A deals in the highly-regulated, evolving cannabis industry. We look forward to continuing to work with AltMed and Verano as they move forward with their combination.”
